STOCK FOOTAGE LICENSE AGREEMENT
This Stock Footage License Agreement (the "Agreement") is entered into upon purchase ("Effective Date"), between Compositing Academy (9480-8896 Quebec Inc), ("Licensor") and the individual or entity making the purchase (“Licensee").
Stock Footage: Licensor grants Licensee a license to use the video stock footage available for download after purchase (the "Footage"). The Footage may include, but is not limited to: video files, clips, or any other forms of digital media.
License Grant: Licensor grants to Licensee, under all of Licensor's intellectual property rights in and to the Footage, a royalty-free, non-exclusive, non-transferable, worldwide right and license to use, reproduce, publicly display and perform the Footage in films or movies (the "Footage License"). Licensee agrees that the Footage License granted herein does not include the right to sell, distribute, or make the Footage available in any form of stock footage to third parties, nor use by other businesses outside of the purchasing entity.
Prohibition on Repurposing and Training AI: It is expressly forbidden for the Licensee to utilize the Stock Files for training artificial intelligence systems or algorithms. Additionally, any derivatives of the Stock Files created by the Licensee may not be sold or distributed for purposes of usage as stock footage or compositing. This restriction is designed to ensure that the proprietary nature of the Stock Files is preserved and that they are used only in the manner outlined in this agreement.
Title; Ownership: Unless otherwise provided herein, Licensor shall retain all right, title, and interest in and to the Footage.
Representations and Warranties; Indemnification: Licensor represents and warrants that Licensor has the full right, title and interest to the Footage and has the unencumbered legal right to grant the licenses and rights granted herein.
Governing Law: This Agreement shall be governed by the laws of Quebec without regard to the choice of law principles thereof. Any controversy or claim arising out of or relating to this Agreement shall be adjudicated in the courts of Quebec.
Limitation of Liability: In no event shall either party be liable to the other party for any indirect, special, incidental, exemplary, punitive or consequential damages of any kind arising out of or related to this agreement.
Miscellaneous: No waiver, amendment, or modification of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the waiver, amendment, or modification is sought to be enforced. The representations and warranties of the parties contained in this Agreement, as well as the provisions of this Agreement respecting confidentiality and indemnification, shall survive the end of the term of this Agreement. This Agreement constitutes the complete and final agreement between the parties with respect to the subject matter hereof and supersedes all prior oral and written negotiations and agreements between the parties concerning such subject matter.
Payment and License Activation: The license granted under this Agreement only becomes effective upon the full receipt of payment by the Licensor from the Licensee. In the event of a refund, chargeback, or any other reversal of payment, the granted license is immediately and automatically revoked. The Licensee will then be required to cease all usage of the Stock Files immediately and any continued use will be considered a breach of this Agreement.
Upon making the purchase, Licensee accepts and agrees to be bound by the terms and conditions of this Agreement. No signature is required for this Agreement to take effect.
